Acceptance of Terms

This website and platform, techmov.com (the "Site" / "Platform"), is operated by TECHMOV SOFTWARE DESIGN CO. L.L.C - S.O.C ("Techmov", "we", "us", or "our"), a limited liability company registered in Dubai, United Arab Emirates. By accessing or using any Techmov service, you ("Client", "you", or "your") confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy and any applicable service-specific addenda.

If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use our services.

Techmov reserves the right to modify these Terms at any time. We will notify you of material changes via email or a notice on the Platform. Continued use after notification constitutes acceptance.

Definitions

Description of Services

Techmov provides telecommunications and software services enabling businesses to communicate with their customers. Current services include:

• A2P SMS — application-to-person bulk and transactional SMS across 150+ countries via 500+ direct carrier connections.
• SMS Verification / OTP — one-time password and two-factor authentication for account security.
• Number Lookup — real-time phone number validation and carrier data enrichment.
• Custom Software Development — bespoke communication solutions and integrations built to specification.

Techmov may introduce additional communication channels and services from time to time. Any new services will be subject to these Terms unless otherwise specified.

Techmov acts as a technology intermediary. Clients are solely responsible for the content they transmit, compliance with all applicable laws, and obtaining all required consents from their End Users before sending any message.

Client Onboarding & Responsibilities

Access to Techmov's services is granted through a direct onboarding process. Clients are provided with SMPP credentials or other connection details upon agreement. You agree to:

• Maintain the confidentiality of your SMPP credentials, connection details, and any access credentials at all times.
• Immediately notify Techmov of any unauthorised access or security breach.
• Be fully responsible for all activity conducted using your credentials.
• Ensure that all information provided to Techmov is truthful and accurate.
• Not share your credentials with unauthorised third parties or use them to circumvent restrictions or limits imposed by Techmov.

Messaging Compliance Requirements

Use of Techmov's messaging services is subject to applicable telecommunications regulations, carrier policies, and any third-party service provider terms that govern the channels through which messages are delivered.

By using any messaging service through Techmov, you explicitly agree to:

• Comply fully with all applicable laws, regulations, and carrier policies governing electronic communications in every jurisdiction where your messages are sent or received.
• Only use the Platform for lawful business purposes.
• Not use the Platform to send unsolicited messages, spam, or any content prohibited under applicable laws or regulations.
• Ensure that Third-Party Service Providers who access data on your behalf are bound by written agreements that include obligations to: (a) only process data pursuant to your instructions; (b) comply with applicable terms; and (c) maintain industry-standard administrative, physical, and technical safeguards.
• Be solely and fully liable for all acts and omissions of your Third-Party Service Providers. Any breach by a Third-Party Service Provider shall be deemed your breach.
• Cooperate with Techmov in any compliance reviews, audits, or investigations.

Opt-In & Opt-Out Requirements

Compliance with this section is mandatory for all Clients using any outbound messaging service through Techmov.

6.1 — Opt-In Requirement

Before sending any business-initiated message to an End User, Clients must obtain explicit, informed opt-in consent from that End User. Valid opt-in consent must:

• Clearly identify the Client (the business) by its full name.
• Clearly state that the End User is consenting to receive messages from that business.
• Specify the types or categories of messages the End User will receive (e.g. order confirmations, appointment reminders, promotions, OTPs).
• Not be obtained via pre-checked boxes, consent bundled with general Terms of Service, or assumed from prior interactions on a different channel.
• Be documented and retained by the Client for a minimum of 12 months, including timestamp, collection method, and the exact consent language shown to the End User.

Acceptable opt-in collection methods include: website or app sign-up forms, in-store sign-ups, IVR flows, SMS keyword opt-in, or QR codes — provided the above requirements are met in each case.

6.2 — Opt-Out Requirement

Clients must provide End Users with a clear, simple, and effective mechanism to opt out of receiving messages at any time. Clients must:

• Process and honour opt-out requests within 24 hours of receipt.
• Immediately suppress opted-out numbers from all future business-initiated messages.
• Communicate opt-out instructions clearly in initial messages and upon End User request (e.g. "Reply STOP to unsubscribe").
• Not send any further messages to an End User who has opted out, except a single confirmatory message acknowledging their opt-out.

6.3 — Enforcement

Prohibited Uses & Content

You agree not to use the Techmov Platform or any of its services for the following:

Prohibited product and service categories:

• Illegal drugs, controlled substances, or drug paraphernalia.
• Tobacco, nicotine, or vaping products and accessories.
• Weapons, firearms, ammunition, or explosive devices.
• Counterfeit goods or content that infringes third-party intellectual property rights.
• Adult content, sexually explicit material, or escort services.
• Online gambling or gaming involving monetary stakes, unless operating under a valid licence in the applicable jurisdiction.
• Pyramid schemes, multi-level marketing, or deceptive investment schemes.
• Human trafficking, exploitation, or related services.
• Payday loans, predatory lending, or deceptive financial products.
• Any product or service prohibited under UAE law or the law of the recipient's country.

Prohibited messaging behaviours:

• Sending unsolicited messages (spam) to End Users without documented opt-in consent.
• Flooding, rate abuse, or any behaviour that degrades network or platform performance.
• Spoofing sender identities or misrepresenting the origin or nature of messages.
• Scraping or harvesting phone numbers without explicit consent.
• Sending messages that result in excessive block, report, or opt-out rates from End Users.
• Using the Platform to target or harass individuals or groups.
• Hate speech, discrimination, or violence incitement against any person or group.

Data Handling & Privacy

Techmov processes personal data on behalf of Clients as a Data Processor. Clients are the Data Controllers in respect of their End Users' personal data. Both parties agree to comply with all applicable data protection laws, including GDPR, UAE PDPL (Federal Decree-Law No. 45 of 2021), and other applicable regulations.

• Messages transmitted through the Platform are encrypted in transit using industry-standard protocols.
• Techmov retains message metadata (delivery status, timestamps, message IDs) for operational and billing purposes as described in our Privacy Policy.
• Clients must not transmit sensitive personal data (e.g. financial credentials, passwords, health records) via unencrypted message body fields.

Clients are solely responsible for ensuring their use of End User data complies with their own privacy policies and applicable law. Please refer to our Privacy Policy for full details.

Intellectual Property

All content, software, APIs, trademarks, logos, and documentation on the Techmov Platform are the exclusive property of TECHMOV SOFTWARE DESIGN CO. L.L.C - S.O.C or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely as described in these Terms. You may not copy, modify, reverse-engineer, decompile, or sublicense any part of the Platform without prior written consent.

All third-party names, logos, and related marks are trademarks of their respective owners.

Fees, Billing & Payment

Fees are set out in your applicable service agreement or order form. Unless otherwise agreed in writing:

• All fees are quoted in USD and are exclusive of applicable taxes (including UAE VAT at the prevailing rate).
• Payment is due per the billing cycle specified in your agreement.
• Techmov may suspend services for accounts with overdue balances after reasonable notice.
• Disputed invoices must be raised in writing within 14 days of the invoice date.

Disclaimer of Warranties

The Platform and all Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Techmov disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Techmov does not warrant that the Platform will be uninterrupted or error-free, or that all messages will be delivered.

Limitation of Liability

To the maximum extent permitted by UAE law, TECHMOV SOFTWARE DESIGN CO. L.L.C - S.O.C and its officers, employees, affiliates, and partners shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost revenue, lost data, or business interruption, arising from your use of or inability to use the Platform.

Techmov's total cumulative liability for any claim shall not exceed the total fees paid by you to Techmov in the three (3) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless TECHMOV SOFTWARE DESIGN CO. L.L.C - S.O.C and its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Any Content you transmit through the Platform.
• Your failure to obtain or maintain valid opt-in consent from End Users.
• Your failure to honour End User opt-out requests.
• Your violation of any applicable law or the rights of any third party, including End Users.
• Any acts or omissions of your Third-Party Service Providers in connection with the Platform.

Suspension & Termination

Either party may terminate a service agreement upon 30 days' written notice. Techmov may immediately suspend or terminate your access without notice where:

• You breach these Terms.
• Your account poses a risk to platform integrity, network stability, or other clients.
• You fail to pay outstanding fees after reasonable notice.
• Required by applicable law or a regulatory or judicial authority.

Upon termination, your right to access the Platform ceases immediately. Provisions relating to data handling, indemnification, limitation of liability, intellectual property, and governing law survive termination.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates and, where applicable, the Emirate of Dubai. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE, and conducted in the Arabic or English language.

Techmov's failure to enforce any provision shall not constitute a waiver.

Changes to These Terms

Techmov may update these Terms at any time, including to reflect changes in applicable law or the introduction of new services. Material changes will be communicated by email or a prominent Platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
